Website Service Agreement

Effective: August 20, 2026 | T&M Marketing

1. Services

T&M Marketing ("we", "us") provides custom website design, hosting, and ongoing maintenance services to local businesses ("Client"). Services include initial website build, hosting on our platform, monthly updates, and technical support.

2. Website Ownership

Important: T&M Marketing retains full ownership of the website design, code, and all associated assets until the Client's account is paid in full and in good standing. The Client is granted a license to use the website while their subscription is active and current.

Upon cancellation with all balances paid in full, the Client may request a static export of their website content. Custom code, design systems, and platform infrastructure remain the property of T&M Marketing.

3. Monthly Subscription Fee

The standard monthly subscription fee is $149 per month, billed every 30 days from the date of activation. This fee covers hosting, maintenance, security updates, and platform access.

Fees are subject to change with 30 days written notice. Continued use of the service after notice constitutes acceptance of the new fee.

4. Installment Payment Plans

Clients may elect to pay the initial website build fee in up to 6 installment payments. Installment plans are subject to the following terms:

  • Installments are due on the same day each month.
  • Missing an installment payment triggers the late fee policy below.
  • If 2 or more consecutive installments are missed, the remaining balance becomes immediately due.
  • The website remains active while installments are current. Missed installments may result in site suspension per Section 6.
  • T&M Marketing does not personally finance installment plans — payments are processed through our third-party payment processor. T&M Marketing receives funds as collected.

5. Late Payment Fees

Payments not received by the due date are subject to the following late fees:

Late fees are added to the outstanding balance and must be paid in full before the account is returned to good standing.

6. Site Suspension and Reactivation

If payment is not received within 31 days of the due date, the Client's website will be suspended and made inaccessible to the public. The website will remain in our system and will be reactivated within 24 hours of receipt of full payment including all outstanding fees.

Suspended sites that remain unpaid for 90 days may be permanently deleted at T&M Marketing's discretion, with no obligation to restore content.

7. Cancellation

Either party may cancel this agreement with 30 days written notice. The Client remains responsible for all fees accrued through the end of the notice period. No refunds are issued for partial months.

8. Limitation of Liability

T&M Marketing's total liability for any claim arising from this agreement shall not exceed the total fees paid by the Client in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Governing Law

This agreement is governed by the laws of the State of California. Any disputes shall be resolved in the courts of Fresno County, California.
